Welcome to Celebrain! We’re very happy to have you here. Make yourself comfortable and have fun, but please respect the house rules.

1. Acceptance of These Terms

This document and the other documents referenced below constitute our house rules, officially known as our Terms of Use (the “Terms”). The Terms are a legally binding contract between you and Celebrain. By using any of our Services (as defined below), you are agreeing to these Terms.

3. Your Privacy

4. Your Celebrain Account

You will need to create a Celebrain account to use some of our Services. These are the requirements for creating an account on Celebrain:

  • Be 18 or older: Our Services are not available to individuals under 18. Users must be at least 18 years old to create an account and use our Services.

  • Provide accurate information: You must provide accurate and complete information about yourself. You are responsible for keeping your account information up to date.

  • Be honest with us: You may not use false identities or information, impersonate another person or entity, or create a Celebrain account if you have previously been suspended or removed from our Services.

  • Choose an appropriate username: Your username may not be offensive, vulgar, or infringe upon someone else’s intellectual property rights.

  • Responsibility for your account: You are solely responsible for any activity on your account. If you share your account with others, the person whose name and payment information are on the account is ultimately responsible for all activity.

  • Protect your password: You are responsible for keeping your Celebrain password secure.

  • Seller Requirements: If you open a shop, you must comply with our Seller Policies.

 

5. Your Content

The content you post through our Services is your “Content” (this includes usernames, profile photos, listing photos and videos, listing descriptions, reviews, comments, videos, etc.).

  • Responsibility for your Content: You are solely responsible for your Content. You represent that you have all necessary rights to your Content and that you are not infringing or violating any third-party rights by posting it.

  • Permission to use your Content: By posting Content through our Services, you grant Celebrain a license to use it. This helps us promote you and our Services.

  • Inappropriate Content: You agree not to post any Content that is offensive, threatening, defamatory, obscene, vulgar, or that violates the Intellectual Property Policy, Prohibited Items Policy, or the Discrimination and Hate Content Policy.

 

6. Your Use of Our Services

  • License to use our Services: We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services.

  • Usage Restrictions: By using Celebrain, you agree not to:

    • Violate our Seller Policies, Intellectual Property Policy, Prohibited Items Policy, or any other policy that forms part of the Terms.

    • Interfere with the Services.

    • Evade payment of fees.

    • Interfere with reviews.

    • Stalk, harass, or harm others.

    • Break the law.

 

7. Termination

  • Termination by you: You may terminate your Celebrain account at any time through your account settings.

  • Termination by Celebrain: We may suspend or terminate your account and access to the Services at any time, for any reason, and without prior notice. If your account is terminated or suspended, you may lose access to any Content associated with it.

 

8. Warranties and Limitation of Liability

Celebrain strives to keep its Services running and secure, but we cannot guarantee they will always work perfectly.

Celebrain makes no express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of liability: To the maximum extent permitted by law, Celebrain is not responsible for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenue, whether incurred directly or indirectly.

 

9. Indemnification

You agree to indemnify, defend, and hold harmless Celebrain (and its employees, agents, contractors, subsidiaries, partners, affiliates, and licensors) from any claims, costs, losses, damages, liabilities, judgments, and expenses (including reasonable attorneys’ fees) arising out of:

  • Your access to or use of the Services

  • Your violation of the Terms

  • Your infringement of any third-party rights, including intellectual property rights

  • Content you post through the Services

 

10. Disputes with Other Users

If you have a dispute with another user of the Celebrain Services, we encourage you to contact the other user directly to resolve the issue.

Celebrain may attempt to mediate disputes, but is not obligated to do so.

If a buyer cannot resolve an issue with a seller, they may open a case through the communication channels specified in the Seller Policy.

 

11. Changes to the Terms

We may update these Terms from time to time, including adding entirely new terms or removing existing ones. If the changes are significant, we will notify you in advance by posting them through the Services or by sending you an email or message about the changes. Continuing to use the Services after the effective date of the changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you may close your account.

 

12. A Few More Legal Details

The Terms, including all policies that form part of the Terms, supersede any other agreement between you and Celebrain regarding the Services. If any part of the Terms is found to be invalid or unenforceable, that part will be limited to the minimum extent necessary and severed so that the remaining Terms remain in full force and effect. Our failure to enforce any part of the Terms is not a waiver of our right to enforce that part or any other part later. We may assign any of our rights and obligations under the Terms.
